These Terms of Use (the "Terms") govern your use of terencelatimer.com (the "Site") and of any software integrations, connected applications, or automated services operated by Latimer Enterprise LLC ("we", "us", "our"), a California limited liability company located at 6259 Adobe Rd, Twentynine Palms, CA 92277. By using the Site or any of our services, you agree to these Terms. If you do not agree, do not use them.

1. Who we are and what these Terms cover

Latimer Enterprise LLC operates this Site and a set of internal business applications, including integrations that connect our own accounting, customer-relationship, and operations systems to third-party platforms such as QuickBooks Online. These Terms apply to the Site and to those applications. Our Privacy Policy, available at terencelatimer.com/privacy, explains how we handle personal data and forms part of these Terms.

2. Permitted use

You may use the Site for lawful purposes and in accordance with these Terms. You agree not to attempt to gain unauthorised access to any part of the Site or to any system, account, or data connected to it; not to interfere with the Site's operation; and not to use the Site to transmit anything unlawful, defamatory, or infringing.

3. Connected applications and third-party services

Some of our applications connect to third-party services (for example, Intuit QuickBooks Online) using credentials that the account holder authorises. Those connections are used solely to operate Latimer Enterprise LLC's own business records. Your use of any third-party service remains subject to that service's own terms and privacy policy, which we do not control. We do not sell, and do not share for advertising, any data obtained through such connections.

4. Accounts and credentials

Where an account or authorisation is required, you are responsible for keeping your credentials confidential and for all activity under them. You may revoke any authorisation you have granted to one of our applications at any time through the relevant third-party service. Notify us promptly at the contact address below if you believe an account has been used without authorisation.

5. Intellectual property

The Site and its content, including text, graphics, logos, and software, are owned by Latimer Enterprise LLC or its licensors and are protected by copyright and other laws. You may view and print pages for personal, non-commercial reference. Any other use requires our prior written permission.

6. Disclaimer of warranties

The Site and our services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

7. Limitation of liability

To the fullest extent permitted by law, Latimer Enterprise LLC and its members, officers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of the Site or our services, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms will not exceed one hundred US dollars (US$100).

8. Indemnity

You agree to indemnify and hold harmless Latimer Enterprise LLC from any claims, losses, or expenses, including reasonable attorneys' fees, arising from your breach of these Terms or your misuse of the Site.

9. Changes to the Site and to these Terms

We may modify or discontinue the Site or any service at any time. We may also revise these Terms; when we do, we will update the effective date above. Continued use after a revision constitutes acceptance of the revised Terms.

10. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in San Bernardino County, California, and you consent to their jurisdiction.
